You will manage subsidiary governance for Colgate-Palmolive’s U.S. subsidiaries and serve as a primary point of contact for members of Colgate-Palmolive’s global legal organization for subsidiary governance for non-U.S. subsidiaries.  You will also be responsible for supporting Colgate-Palmolive’s Board of Directors, including drafting resolutions and minutes. You will also be responsible for compliance with Section 16 of the Securities Exchange Act of 1934 for Colgate-Palmolive’s directors and executive officers, including preparing and filing Section 16 reports and maintaining stock ownership records.  You will also provide support for Colgate-Palmolive’s insider trading policy compliance and certain financing activities.

What you'll do

  • Entity Governance: Draft and manage essential governance documents, including minutes, proxies, written consents, and officer certifications for all subsidiaries.
  • Corporate Lifecycle: Oversee the full lifecycle of entities, including incorporations, registrations, dissolutions, and qualifications across U.S. jurisdictions.
  • Database & Records Management: Maintain accurate subsidiary listings and corporate identification data in the hCue database, ensuring all Delaware records are filed and up-to-date.
  • Legalization Services: Coordinate document execution, notarization, and authentication (via apostilles or consulates) for international compliance.
  • Board Support: Draft meeting minutes and resolutions for the Colgate-Palmolive Board of Directors and its various committees.
  • SEC Reporting: Prepare and file timely Section 16 reports (Forms 3, 4, and 5) for directors and executive officers using the hCue system.
  • Insider Trading Oversight: Manage insider lists, coordinate trading window clearances, and facilitate the review and signature of 10b5-1 plans.
  • Operational Support: Maintain the Corporate Calendar, manage executive stock ownership records, and lead quarterly due diligence processes for financing transactions.

Required Qualifications

  • Bachelor's degree
  • New York notary (or capability to quickly become one)
  • 5+ years of experience in a law firm or in-house legal environment

Preferred Qualifications

  • Experience with hCue Entity Management System
  • Outstanding organization and project management skills
  • Strong interpersonal skills; a team player able to establish and build partnerships across all levels of the legal and business teams around the world.
  • Must have the ability to multitask, balance multiple priorities and deliver results in a fast-paced, constantly-changing environment

Compensation and Benefits
Salary Range $96,800.00 - $137,000.00 USD

Pay is determined based on experience, qualifications, and location. Salaried employees may also be eligible for discretionary bonuses, profit-sharing, and long-term incentives for Executive-level roles.
