Overview
The Legal Specialist supports corporate governance, statutory compliance and legal-entity maintenance for TE entities across APAC. The role requires a high degree of personal responsibility and effective coordination with TE’s legal team, controllers, Finance and Treasury teams, external law firms and corporate-service providers, and internal customers. The Legal Specialist manages assigned matters from request and approval through document preparation, execution, filing, notification and record maintenance, subject to attorney review and approval.
Job Requirements
Primary responsibilities
Corporate governance and legal-entity maintenance
• Draft and coordinate documents for the formation of new entities, registration of branches, liquidation of dormant entities and other approved corporate changes.
• Prepare board and shareholder resolutions, written consents, minutes, notices, statutory forms and related execution documents for attorney review and approval.
• Maintain minute books, corporate records, constitutional documents, licenses, registers and filed documents in approved repositories and entity-management systems.
• Coordinate changes involving directors, officers, legal representatives, company secretaries, registered offices, business scope, capital and shareholding information.
Corporate transactions and approvals
• Prepare board and shareholder approvals for asset sales or transfers, share changes, officer or director appointments and removals, and changes of legal representative.
• Prepare dividend resolutions and related corporate documentation for approved distributions.
• Support share transfers, capital changes, restructurings and other corporate projects by coordinating approvals, transaction documents, external advisers, execution and closing records.
• Prepare corporate approvals and supporting documents for the opening and closing of bank accounts and changes to authorized signatories.
• Support powers of attorney and signing-authority matters, including preparation, approval routing, execution, expiry monitoring, renewal and record updates.
Annual compliance and statutory filings
• Maintain the compliance calendar for assigned entities, including annual meetings, annual returns, statutory filings, licenses and required inspections.
• Review documents prepared by external providers, coordinate internal approvals and signatures, monitor submission and obtain filed or dated copies for the corporate record.
• Identify missing information, execution risks and approaching deadlines early and escalate them with clear proposed actions.
External-provider and stakeholder coordination
• Coordinate with PwC, KPMG, external counsel and other approved providers on corporate changes, statutory filings and annual compliance matters.
• Obtain and review fee quotes, confirm scope and deliverables, monitor progress and resolve routine issues in consultation with legal counsel.
• Work closely with Legal, Finance, Tax, Treasury, entity controllers, directors and internal customers across APAC; provide concise status updates and maintain action logs.
Records, confidentiality and process improvement
• Control the release of corporate documents by confirming the recipient, business purpose, required approval and confidentiality safeguards.
• Handle directors’ and officers’ personal information using need-to-know access, secure transfer and appropriate retention controls.
• Maintain and improve procedures, templates, checklists and responsibility matrices for recurring Corporate Secretary work.
Qualifications and experience
• Bachelor’s degree in law, corporate governance, business administration or a related discipline.
• Typically 3 to 6 years of relevant experience in corporate secretarial, legal operations, corporate legal work or entity governance, preferably in a multinational organization or professional-services firm.
• Ability to manage multiple matters and deadlines accurately, with strong attention to detail and sound judgment on when to escalate.
• Professional written and spoken English and Mandarin Chinese. A third language is a plus.
